Amending Articles of Incorporation or Bylaws
Section 14.1. Amendments.
Except as otherwise provided by law, the articles of incorporation and bylaws may be altered, amended or repealed by and eighty percent (80%) vote of the voting members at the annual membership meeting; provided, however, that no amendment shall be acted upon unless written notice setting forth the substance of the proposed amendment put forth by the board shall have been sent to each voting member at least sixty (60) days in advance of the meeting. The vote of the members entitled to vote may be taken by any means in accordance with Article 3.
Section 14.2. Notice.
It is the privilege of members in good standing to propose amendments to the bylaws in writing to the executive director at least seventy-five (75) days in advance of the start of the annual membership meeting. Written notice of proposed amendments will be distributed to members no later than sixty (60) days in advance of the annual membership meeting.
